1. Introduction

By accessing or using the Entr3pnr website (the "Site"), you agree to be bound by these Terms of Service. If you do not agree to these Terms, please refrain from using the Site.

2. License Grant and Restrictions

Entr3pnr grants you a personal, revocable, limited, non-exclusive, non-sublicensable, and non-transferable license to access and use the Site and its content ("Content") for your personal, internal business purposes only, conditioned on compliance with these Terms.

You may not:

• Disassemble, decompile, or reverse-engineer the Content.

• Create services or products that compete with or harm Entr3pnr’s offerings.

• Rent, lease, distribute, or sublicense the Content to third parties.

• Modify, adapt, or create derivative works of the Content.

• Use any harmful code or engage in data mining activities.

3. User Obligations

• You represent that you are at least 18 years old or the legal age of majority in your jurisdiction and agree to provide true and accurate information.

• You agree to comply with all applicable laws, including privacy and data protection laws, and ensure that your use of the Site is lawful.

4. User Account

6. Submissions

You agree not to submit content that is illegal, defamatory, deceptive, or harmful, or contains viruses or malware.

7. Electronic Communications

By using the Site, you consent to receive electronic communications from Entr3pnr. These communications may include notifications or updates about your use of the Content, and you agree that all such communications satisfy any legal requirement that notices be in writing.

8. Electronic Signature Consent

You agree that your electronic signature, which includes using a keypad, mouse, or similar device to click or select items on the Site, constitutes a legal signature and is equivalent to signing a document by hand. You further acknowledge that no third-party verification is required to validate your electronic signature, and it will be binding for any agreements made.

9. Purchases and Payments

• When you make a purchase on the Site, you agree to pay all applicable fees and taxes, including a 3% - 6% transaction fee.

• All purchases are final and non-refundable unless explicitly stated otherwise.

• You grant Entr3pnr authorization to charge your selected payment method, and you are responsible for maintaining the security of your payment information.

10. Termination

Entr3pnr reserves the right to suspend or terminate your access to the Site at any time for violating these Terms. You may terminate your account by contacting us.

11. Limitation of Liability

Entr3pnr is not liable for any indirect or consequential damages resulting from the use or inability to use the Site.

12. License to Services

Entr3pnr may offer licenses for certain products or services ("Services"), available through the Site or via separate purchasing processes. Your purchase and use of such Services will be governed by the applicable licensing terms, as outlined in the order form or a separate written/electronic agreement with Entr3pnr. If you have already purchased a license for Services, those are subject to the Master Subscription Agreement ("MSA") located at [Insert URL]. In case of inconsistency between the MSA and these Terms, the MSA will control.

13. Links to Third-Party Services

Some features of the Content are provided by third-party services. By using these features, you acknowledge that Entr3pnr may share your data with these third parties as needed to enable their services, in accordance with our Privacy Policy. Entr3pnr does not endorse, guarantee, or take responsibility for any third-party products or services.

14. Third-Party Terms and Conditions

Certain features or tools within the Content may involve third-party APIs or services. By using these features, you agree to comply with all applicable third-party terms. For example, if using the Google Places API for address validation, you agree to Google's Terms of Service.

15. Data Privacy

Entr3pnr may need to collect and process personal data to operate certain features of the Content. By using the Content, you consent to our collection and handling of your data, as detailed in our Privacy Policy.

16. Mobile Usage

When accessing the Content via a mobile device, you are responsible for any data charges imposed by your mobile carrier. You should check with your carrier to determine whether the Content is available on your device and what costs may apply. Not all functionality may be available on all devices.

17. Additional Terms for Apple Users

If you downloaded Entr3pnr's mobile app from the Apple App Store, you acknowledge that the terms between you and Entr3pnr govern your use of the app, and that Apple is not responsible for providing support or addressing claims related to the app. Apple’s terms are supplemental to the Terms of Service outlined here.

18. Proprietary Rights

All content within the Site, such as text, images, graphics, logos, and software, is the property of Entr3pnr or its licensors and is protected by copyright laws. You do not acquire any ownership rights in the Content through your use of the Site. Entr3pnr reserves all rights not expressly granted to you in these Terms.

19. Indemnification

You agree to indemnify, defend, and hold harmless Entr3pnr, its officers, directors, employees, agents, and assigns from any losses, costs, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from (i) your violation of these Terms of Service (TOS), (ii) infringement of third-party rights, (iii) violation of laws, and (iv) your submissions, including their content, legality, or effectiveness. Entr3pnr may assume exclusive defense of any matter requiring indemnification and you must cooperate fully.

20. Disclaimers and Excluded Liability

ENTR3PNR DOES NOT WARRANT THAT THE CONTENT WILL OPERATE ERROR-FREE OR UNINTERRUPTED. THE CONTENT IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. ENTR3PNR IS NOT RESPONSIBLE FOR ANY LOSS OR CORRUPTION OF DATA, INCLUDING SUBMISSIONS, OR FOR VIRUSES, MALWARE, OR ERRORS.

ENTR3PNR SHALL NOT BE LIABLE FOR (A) DATA LOSS, INTERRUPTION OF USE, OR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, INCLUDING LOSS OF PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; OR (B) DAMAGES EXCEEDING THE TOTAL AMOUNTS PAID BY YOU OVER THE LAST SIX (6) MONTHS OR TEN U.S. DOLLARS (USD $10.00). CERTAIN JURISDICTIONS MAY NOT ALLOW ALL DISCLAIMERS; IN SUCH CASES, THEY WILL APPLY TO THE MAXIMUM EXTENT PERMITTED.

21. Term, Termination, and Suspension

These TOU become effective when you first access or use the Content. Entr3pnr reserves the right to terminate or suspend your access at any time for reasons including but not limited to suspected fraudulent activity, violation of these TOU, or any other reason. Entr3pnr may also remove or discontinue providing the Content without notice. Termination will not affect provisions that survive termination, including indemnification, disclaimers, and proprietary rights.

22. Arbitration

Any disputes under these TOU will be resolved through binding arbitration conducted by a neutral arbitrator under the Commercial Arbitration Rules of the American Arbitration Association in Pennsylvania. You and Entr3pnr consent to the exclusive jurisdiction of these courts. This arbitration provision survives termination of these TOS.

23. Class Action Waiver

By agreeing to these TOU, you waive your right to bring or participate in any class-action lawsuit, class-wide arbitration, or private attorney-general action related to these TOU.

24. Governing Law and Venue

These TOU are governed by the laws of Pennsylvania , and any disputes must be resolved in the state or federal courts in the United States of America. You consent to the jurisdiction of these courts.

25. Independent Contractors

Your relationship with Entr3pnr is that of independent contractors. Nothing in these TOS creates a joint venture, partnership, or employer-employee relationship.

26. Security and Compliance

Entr3pnr reserves the right to monitor and record your activity on the Content without notice. Entr3pnr’s operations are subject to applicable legal processes, and we may comply with governmental or law enforcement requests related to your use of the Content or data you provide.

27. Export Controls

You represent and warrant that you are not located in a country subject to a U.S. government embargo or listed on any U.S. government prohibited or restricted parties list. You agree to comply with all applicable sanctions and export control laws and are solely responsible for ensuring that the Content is used in accordance with these laws.

28. Severability and Waiver

If any part of this TOU is deemed invalid or unenforceable, it will be severed and the remainder will remain in effect. Failureto enforce any part of this TOU does not waive subsequent breaches.

29. Injunctive Relief

You acknowledge that breaches of this TOU may cause irreparable harm to us, entitling us to seek injunctive or other equitable relief without the need for bond or security.

30. Changes to Terms

We reserve the right to modify these TOU, with changes becoming effective upon posting or notice. Your continued use of the Content after changes signifies your acceptance of the new terms.
